Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and Cynventory ("Company," "we," "us," or "our") governing your access to and use of our cloud-based inventory management platform, website, mobile applications, APIs, and all associated services (collectively, the "Services").
By registering for an account, clicking "I agree," accessing any part of the Services, or making a payment, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Services.
You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement.
Description of Services
Cynventory provides a cloud-based software-as-a-service (SaaS) inventory management platform designed for small and medium-sized businesses. The core Services include, but are not limited to:
- Real-Time Inventory Tracking: Monitor stock levels, movements, and adjustments in real time across one or more locations.
- Product Management: Create, categorize, and manage product catalogues with SKUs, pricing, and stock thresholds.
- Sales & Order Management: Record sales, track orders, and reconcile inventory changes automatically.
- Analytics & Reporting: Generate reports on stock performance, sales trends, profit margins, and supplier activity.
- Multi-User Access: Invite team members with configurable role-based permissions (subject to plan limits).
- Low Stock Alerts: Receive automated notifications via email and/or SMS when stock falls below user-defined thresholds.
- CSV Import/Export: Bulk-manage products and reports through comma-separated value files.
- REST API Access: Programmatic access to inventory data for integration with third-party tools (Business plan).
- Supplier & Customer Management: Maintain records for suppliers and customers linked to purchase and sales orders.
We reserve the right to modify, suspend, or discontinue any feature of the Services at any time, with or without notice. We will endeavour to provide advance notice of material changes that may affect your use of the Services.
Account Registration
To access the Services, you must create an account by providing accurate, current, and complete information as prompted during the registration process, including a valid business name, email address, and password.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Create a strong password of at least 8 characters.
- Not share your password with any third party.
- Notify us immediately at info@cynventor.com.tr of any unauthorized use of your account.
- Ensure that you log out of your account at the end of each session on shared devices.
You agree to provide and maintain accurate, complete, and up-to-date account information. Inaccurate, incomplete, or outdated information may result in suspension or termination of your account. We are not liable for any loss arising from your failure to comply with this obligation.
Each business entity may register one primary account. Sub-user seats may be added within your plan's user limits. Creating multiple accounts to circumvent plan restrictions is prohibited.
Subscription & Billing
Cynventory is offered on a subscription basis. The following plans and pricing apply (prices shown in USD):

Subscription fees are billed in advance at the beginning of each billing period. The billing period corresponds to your chosen subscription duration (monthly: 30 days; quarterly: 90 days; annual: 365 days). Annual subscriptions receive a 20% discount relative to the monthly rate.
Unless you explicitly disable auto-renewal during registration or in your account settings, your subscription will automatically renew at the end of each billing period. You authorize us to charge your stored payment method for the renewal amount. We will send a reminder email at least 7 days before your renewal date.
We reserve the right to modify subscription fees. We will provide at least 30 days' written notice via email before any price change takes effect. Your continued use of the Services after a price change constitutes your acceptance of the new pricing. If you do not accept the new pricing, you may cancel your subscription before the price change takes effect.
Paid plan subscribers may participate in our referral programme. When a referred user subscribes to a paid plan using your referral code: (i) the referred user receives a 10% discount on their first billing period; (ii) you earn a commission of 10% for the first referred account's first billing month, 20% for the second billing month, and 30% for the third and subsequent billing months, credited against your future subscription invoice. Referral commissions apply only to paid plans and cannot be exchanged for cash.
Payment Processing
All payments made through the Services are processed by our authorised third-party payment service providers ("PSP"). By providing your payment information, you authorise us and our PSP to charge your selected payment method for all applicable fees.

- Debit cards with 3D Secure authentication
- Bank transfer (annual plans only, upon request)
All payment transactions are processed over encrypted connections (TLS 1.2+). We comply with the Payment Card Industry Data Security Standard (PCI DSS). We do not store your full card number on our servers; all card data is tokenised and held by our PCI-compliant PSP.
Where required by the card scheme or applicable law, transactions may be subject to 3D Secure (3DS2) authentication. You agree to complete any additional authentication steps as requested by your card issuer.
If a payment fails, we will notify you by email and retry the charge up to three times over seven days. If payment is not successfully collected within this period, your account will be downgraded to the Starter plan and access to paid features will be suspended. Your data will be retained for 30 days to allow you to resolve the payment issue and reactivate your subscription.
Subscription fees are exclusive of applicable taxes. Where required by law (including VAT, GST, or similar consumption taxes), we will add the applicable tax to your invoice. You are responsible for all taxes associated with your use of the Services, other than taxes based on our net income.
If you initiate a chargeback or payment dispute in bad faith, we reserve the right to suspend your account immediately and seek recovery of any disputed amounts plus an administrative fee of $25 per chargeback. We encourage you to contact us directly to resolve billing issues before initiating a chargeback.
Free Trial & Cancellation / Refund Policy
New accounts may access the Starter plan free of charge for 30 days without providing credit card details. At the end of the trial period, the account remains on the Starter plan indefinitely unless you upgrade to a paid plan. No automatic charges occur at the end of the free trial.
Paid plan subscriptions include a 14-day money-back guarantee from the date your first payment is processed. If you are not satisfied, contact us within 14 days to receive a full refund of your most recent payment.
You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of the current billing period. You will continue to have access to the paid features until the end of the paid period.
After the 14-day money-back guarantee period, subscription fees are non-refundable. We do not provide pro-rated refunds for unused portions of a billing period unless required by applicable law. Exceptions may be made at our sole discretion in cases of prolonged service outages attributable to our infrastructure.
Acceptable Use Policy
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in any manner that violates applicable local, national, or international law or regulation.
- Attempt to gain unauthorised access to any part of the Services, other accounts, or computer systems connected to the Services.
- Introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material.
- Conduct automated scraping, crawling, or data harvesting of the Services without our prior written consent.
- Use the Services to transmit unsolicited commercial communications (spam).
- Reverse-engineer, decompile, or disassemble any software component of the Services.
- Resell, sublicense, or otherwise provide access to the Services to third parties without our prior written consent.
- Use the Services to store or transmit infringing, defamatory, or otherwise unlawful content.
- Interfere with the integrity or performance of the Services or third-party data contained therein.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.
Intellectual Property
The Services, including all software, algorithms, user interfaces, text, graphics, logos, and documentation, are the exclusive property of Cynventory and its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes during the term of your subscription.
You retain full ownership of all data, content, and information you input into the Services ("Your Data"). You grant us a limited, non-exclusive, worldwide, royalty-free licence to process, store, and display Your Data solely for the purpose of providing the Services to you. We do not claim ownership of Your Data and will not use it for any purpose other than providing and improving the Services.
If you provide us with feedback, suggestions, or ideas regarding the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use such feedback for any purpose, including improving the Services, without any obligation to you.
Data & Privacy
Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By using the Services, you consent to the data practices described in the Privacy Policy.
We implement industry-standard security measures including AES-256 encryption at rest and TLS encryption in transit. We perform automated daily backups and maintain disaster recovery procedures. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.
You are responsible for ensuring that any personal data you input about third parties (such as your customers or employees) is processed in compliance with applicable data protection laws, including obtaining any necessary consents.
Service Availability & SLA
We strive to maintain 99.9% monthly uptime for the core Services ("Service Level Agreement" or "SLA"). Scheduled maintenance windows will be communicated at least 48 hours in advance and will typically occur outside peak business hours (Monday–Friday, 09:00–18:00 UTC).
- 99.0% – 99.9% uptime: No credit.
- 95.0% – 98.9% uptime: 10% credit of monthly fee.
- 90.0% – 94.9% uptime: 25% credit of monthly fee.
- Below 90.0% uptime: 50% credit of monthly fee.
Credits must be requested within 30 days of the incident and will be applied to your next invoice. Credits are the sole and exclusive remedy for service availability issues.
The SLA does not apply to downtime caused by: (i) your actions or omissions; (ii) third-party services beyond our control; (iii) force majeure events; (iv) scheduled maintenance.
Disclaimer of Warranties & Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CYNVENTORY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).
Indemnification
You agree to indemnify, defend, and hold harmless Cynventory and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (i) your access to or use of the Services; (ii) your violation of these Terms; (iii) your violation of any third-party rights, including intellectual property rights; or (iv) any claim that Your Data caused damage to a third party.
Termination
You may terminate your account at any time through your account settings or by contacting support. Upon termination, your access to paid features will end at the close of the current billing period.
We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, non-payment, fraudulent activity, or if we determine that your use poses a security risk to the Services or other users.
Upon termination, your right to access the Services immediately ceases. Your data will be retained for 30 days following termination, during which time you may request a full export. After this retention period, your data will be permanently deleted from our systems. Sections 8.1, 11, 12, 14, and 16 shall survive termination.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any dispute, controversy, or claim arising out of or in connection with these Terms, including their breach, termination, or validity, shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within 30 days, the parties agree to submit to binding arbitration.
If you are a consumer located in the European Union, you may also bring proceedings in the courts of the EU member state where you are domiciled. The European Commission provides an online dispute resolution platform accessible at ec.europa.eu/consumers/odr.
Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes at least 30 days before the new Terms take effect by posting an update on our website and/or sending you an email to the address associated with your account.
Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Services and cancel your subscription before the effective date.
